1. About these terms

2. Our services are governed by separate agreements

Information on the Website describes the marketing services we offer. Those services are provided only under a written agreement between Overdrive and the client. If anything in these terms conflicts with a written service agreement, the service agreement prevails. Nothing on the Website is an offer capable of acceptance.

3. Using the Website

You may browse the Website for lawful purposes. You must not:

  • use the Website in any way that breaches applicable law or regulation;
  • attempt to gain unauthorised access to the Website, the server on which it is hosted, or any connected system;
  • introduce viruses, malicious code or other harmful material;
  • scrape, copy or reproduce substantial parts of the Website without our written permission; or
  • use the Website to send unsolicited communications.

We may suspend or withdraw the Website, or any part of it, at any time without notice.

4. Intellectual property

Overdrive owns or licenses all intellectual property in the Website and its content, including text, graphics, logos, case studies and software. You may view, download and print pages for your own business reference, provided you keep all copyright notices and do not modify the material. Any other use requires our written consent. The names Overdrive and Overdrive Digital are trade names of Overdrive; third-party names and logos belong to their owners.

5. Information on the Website

The Website is provided for general information. We try to keep it accurate and up to date but we make no promise that it is complete, correct or free of errors, and it does not constitute professional advice. Performance figures, case studies and testimonials describe past results for specific clients and are not a guarantee of future results.

6. Links to other sites

The Website may link to third-party websites. We do not control those sites and are not responsible for their content or their handling of your data.

7. The Overdrive Google Ads MCP application

The App is an internal tool that allows authorised users to access Google Ads accounts through an AI assistant. Access to the App is granted by Overdrive to its staff and, by express written agreement, to clients. If you have been granted access, the following additional terms apply.

  • Authorised use only. You may use the App only for Overdrive’s business or, if you are a client, for the accounts covered by your agreement with Overdrive. You must not share your access with anyone else.
  • Your Google account. You sign in to the App with your own Google account and the App acts with the permissions that account already has in Google Ads. You are responsible for keeping your Google account secure and for the actions taken through it. You may revoke the App’s access at any time in your Google account settings.
  • Google’s terms. Your use of Google Ads through the App remains subject to the Google Ads Terms of Service and the Google Ads policies. Overdrive’s use of Google data is described in our Privacy Policy and complies with the Google API Services User Data Policy.
  • AI assistance. The App presents data and, where enabled, performs actions through an AI assistant. AI output can be wrong. You must review any analysis, recommendation or proposed change before relying on it or approving it, and you remain responsible for decisions made about the accounts you manage.
  • Changes to accounts. Where the App allows campaigns or settings to be created or changed, those actions are taken only on your explicit instruction and are recorded with your identity. Overdrive may limit, log, require approval for, or disable such features at any time.
  • Availability. The App is provided as is and as available. We may change, suspend or withdraw it, or remove your access, at any time, including to protect the security of accounts or data.
  • Acceptable use. You must not attempt to access accounts or data you are not authorised to see, to circumvent the App’s safeguards, to overload the App, or to use it for any purpose that breaches Google’s policies or the law.

8. Privacy

Our Privacy Policy at https://overdrive.digital/privacy explains how we handle personal data, including data obtained from Google through the App. It forms part of these terms.

9. Liability

Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded by law.

Subject to that, to the fullest extent permitted by law: we exclude all implied conditions, warranties and representations in relation to the Website and the App; we are not liable for any loss or damage arising from your use of, or inability to use, the Website or the App, or from reliance on information displayed on them, including loss of profit, revenue, business, data or goodwill and any indirect or consequential loss; and our total liability to you in connection with the Website or the App (other than under a separate written service agreement, which has its own terms) shall not exceed GBP 1,000.

Where you are a consumer, nothing in this section affects your statutory rights.

10. Changes to these terms

We may change these terms at any time by posting an updated version on the Website. The effective date at the top shows when they were last changed. Your continued use of the Website or the App after a change means you accept the updated terms.

11. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute relating to them, except that consumers resident in the European Union may bring proceedings in their country of residence and benefit from mandatory provisions of local law.
